What Is Schedule 13E-4?

When public corporations made tender offers for their own stocks, they were obliged to submit Schedule 13E-4 with the Securities and Exchange Commission (SEC). The Securities Exchange Act of 1934 mandated the use of the form, known as an issuer tender offer statement. It established additional conditions that an issuer had to meet while making a self-tender offer. In the year 2000, Schedule TO-I took its place.
